Terms of Service

These Terms of Service ("Terms") govern authorized use of online services and integrations provided by Phenicie Business Management ("PBM," "we," "us," or "our"), including the PBM AI Sales Desk and its QuickBooks Online integration (collectively, the "Services"). By connecting an account to or using the Services, you agree to these Terms.

Authorized Use

The Services are intended for PBM and users PBM expressly authorizes. You must provide accurate information, protect your credentials, use the Services only for lawful business purposes, and promptly notify PBM of suspected unauthorized access.

QuickBooks Online Integration

When an authorized QuickBooks administrator connects a QuickBooks Online company, the Services receive permission to read limited customer information through Intuit's Accounting API. The integration reads customer identifiers, display or company names, and primary email addresses, and derives email domains from those addresses.

PBM uses this information to maintain an internal existing-client list and prevent sales outreach to current clients. The integration does not create, update, or delete QuickBooks records and does not use QuickBooks data to train generative-AI models.

You represent that you are authorized to connect the QuickBooks company and permit this processing. You may disconnect the integration through Intuit or contact PBM for assistance. Intuit products remain governed by your agreements with Intuit.

AI-Assisted Features

The AI Sales Desk may use generative AI to research prospective businesses from public sources, prepare outreach drafts, and classify replies for human review. AI output can be incomplete or incorrect and must not be treated as professional, legal, accounting, insurance, security, or compliance advice.

Research claims require supporting source links, unsupported information is flagged for verification, and outbound messages require explicit human approval. Deterministic controls enforce sending status, unsubscribe suppression, and existing-client restrictions independently of AI output.

Data and Privacy

You retain any rights you hold in information you authorize the Services to process. You grant PBM and its service providers a limited right to host, process, transmit, and secure that information only as needed to operate, protect, and support the Services or comply with law.

Third-Party Services

The Services may depend on providers such as Intuit, Cloudflare, Resend, OpenAI, and communications vendors. Their services are governed by their own terms and policies. PBM is not responsible for third-party outages, changes, or acts outside PBM's reasonable control.

Acceptable Use

You may not:

  • Use the Services to violate law, contractual duties, privacy rights, or intellectual-property rights.
  • Attempt to bypass authentication, approval, suppression, or other security and safety controls.
  • Upload malware or probe, disrupt, or gain unauthorized access to any system or account.
  • Use AI-generated material without appropriate human review or misrepresent it as verified fact.
  • Access or disclose QuickBooks or other customer data beyond the scope of your authorization.

Availability and Changes

PBM works to keep the Services secure and available, but uninterrupted or error-free operation is not guaranteed. We may maintain, modify, restrict, suspend, or discontinue the Services when reasonably necessary for security, legal, operational, or business reasons.

Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available." PBM disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. The Services do not replace professional legal, accounting, insurance, security, or compliance advice.

Limitation of Liability

To the fullest extent permitted by law, PBM will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, goodwill, data, or opportunities arising from use of or inability to use the Services. PBM's aggregate liability relating to the Services will not exceed the amount paid to PBM for the affected Service during the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so portions of this section may not apply.

Termination and Disconnection

You may stop using the Services or disconnect linked services at any time. PBM may suspend access for a material violation of these Terms, unlawful activity, abuse, or a security risk. Provisions that by their nature should survive termination—including ownership, disclaimers, liability limits, and governing-law terms—will survive.

Governing Law

These Terms are governed by the laws of the State of Montana, without regard to conflict-of-law principles. Any dispute not subject to a mandatory legal forum will be brought in a court of competent jurisdiction serving Lake County, Montana.

Changes to These Terms

PBM may update these Terms as the Services or applicable requirements change. The current version will be posted at this URL with its effective date. Continued use after an update constitutes acceptance to the extent permitted by law.
